1. Acceptance of Terms

By accessing or using the Medocs.ai platform, website, mobile applications, or any related services (collectively, the "Platform"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must not access or use the Platform.

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to this page with an updated effective date. Your continued use of the Platform after any modifications constitutes acceptance of the revised Terms. We encourage you to review this page periodically.

2. User Eligibility

To use the Platform, you must meet the following eligibility requirements:

• You must be at least 18 years of age.
• If using the Platform for clinical purposes, you must be a duly licensed healthcare professional authorized to practice in your jurisdiction.
• You must be capable of entering into a legally binding agreement.
• You must comply with all applicable laws, including but not limited to the Health Insurance Portability and Accountability Act (HIPAA) and other federal, state, and local regulations governing the handling of protected health information (PHI).

By registering for an account, you represent and warrant that you meet all eligibility requirements described above.

3. Account Registration and Security

To access certain features of the Platform, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information to keep it accurate and complete.
• Keep your login credentials confidential and not share them with any third party.
• Notify Medocs immediately of any unauthorized access to or use of your account.
• Accept full responsibility for all activities that occur under your account.

Medocs reserves the right to suspend or terminate accounts that contain false or incomplete information, or that are used in violation of these Terms.

4. Platform Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You shall not:

• Use the Platform in any way that violates any applicable federal, state, local, or international law or regulation.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Platform, its servers, or any database connected to the Platform.
• Introduce viruses, trojans, worms, logic bombs, or other material that is malicious or technologically harmful.
• Use any automated system, including bots, scrapers, or spiders, to access the Platform without express written permission.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform.
• Tamper with, modify, or create derivative works based on the Platform or any of its components.
• Use the Platform to transmit unsolicited or unauthorized advertising, spam, or promotional materials.

All content, features, and functionality of the Platform, including but not limited to text, graphics, logos, software, and AI models, are the exclusive property of MEDOCS LLC and are protected by intellectual property laws.

5. Medical Documentation and Data

The Platform provides AI-powered tools for clinical documentation, including ambient AI scribing, note generation, medical coding, and billing assistance. You acknowledge and agree that:

• All AI-generated clinical notes, codes, and documentation are intended as drafts and decision-support tools. You are solely responsible for reviewing, editing, and approving all content before it becomes part of any medical record.
• The Platform does not provide medical advice, diagnoses, or treatment recommendations. All clinical decisions remain the sole responsibility of the licensed healthcare provider.
• You are responsible for ensuring the accuracy, completeness, and compliance of all documentation generated through the Platform.
• You shall not rely exclusively on AI-generated output without independent professional review and judgment.

6. Privacy and Data Security

Your privacy is critically important to us. The collection, use, storage, and disclosure of your personal information and any protected health information (PHI) are governed by our Privacy Policy, which is incorporated into these Terms by reference.

Medocs implements industry-standard security measures designed to protect data in compliance with HIPAA, including administrative, physical, and technical safeguards. However, no method of electronic storage or transmission is 100% secure. While we strive to protect your data, we cannot guarantee absolute security.

7. Third-Party Links

The Platform may contain links to third-party websites, services, or resources that are not owned or controlled by Medocs. We provide these links for convenience only and do not endorse or assume any responsibility for the content, privacy policies, or practices of any third-party sites or services.

You acknowledge and agree that Medocs shall not be liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any content, goods, or services available on or through any third-party websites or services.

8. Suspension or Termination

Medocs reserves the right to suspend, disable, or terminate your account and access to the Platform at any time, with or without cause, including but not limited to:

• Breach or violation of these Terms.
• Conduct that Medocs reasonably believes is harmful to other users, the Platform, or third parties.
• Non-payment of applicable fees.
• Request by law enforcement or other government agency.
• Extended periods of inactivity.

You may terminate your account at any time by contacting us. Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination shall remain in full force and effect.

9. Limitations of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MEDOCS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, REVENUE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your use of or inability to use the Platform.
• Any errors, inaccuracies, or omissions in AI-generated content, documentation, or coding suggestions.
• Any unauthorized access to or alteration of your data or transmissions.
• Any third-party content, services, or conduct on or through the Platform.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF MEDOCS LLC EXCEED THE AMOUNT YOU PAID TO MEDOCS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Indemnification

You agree to defend, indemnify, and hold harmless MEDOCS LLC, its officers, directors, employees, agents, licensors, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of or access to the Platform.
• Your violation of these Terms.
• Your violation of any third-party right, including any intellectual property, privacy, or proprietary right.
• Any claim that your use of the Platform caused damage to a third party.
• Any clinical decisions made in reliance upon AI-generated content provided by the Platform.

This indemnification obligation shall survive the termination of your account and these Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions.

Any legal action or proceeding arising out of or relating to these Terms or your use of the Platform shall be brought exclusively in the state or federal courts located in Cook County, Illinois. You consent to the personal jurisdiction of such courts and waive any objections based on venue or inconvenient forum.

12. Miscellaneous

Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or agreements published by Medocs on the Platform, constitute the entire agreement between you and MEDOCS LLC regarding your use of the Platform and supersede all prior or contemporaneous agreements, representations, or understandings.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or of any other term or condition. Medocs' failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Force Majeure

Medocs shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, labor disputes, power outages, internet disruptions, or government actions.

Assignment

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Medocs. Medocs may assign its rights and obligations without restriction.
